mEinstein Terms and Conditions
These Terms and Conditions (the "Terms") govern your access to and use of the mEinstein application, related websites, and associated products, features, content, marketplaces, and services (collectively, the "Services") provided by mEinstein AI, Inc. and its affiliates ("mEinstein," "we," "our," or "us"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
These Terms should be read together with our Privacy Policy and any feature-specific disclosures, consent screens, transaction terms, payment terms, or marketplace terms that may apply to particular functionality.
You agree to these Terms by creating an account, accessing the Services, clicking to accept, or otherwise using the Services.
If you are using the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.
You must be at least the age of legal majority in your place of residence, or otherwise legally authorized, to use the Services. You may not use the Services if your use is prohibited by applicable law.
You are responsible for maintaining accurate account information, safeguarding your login credentials, and all activity that occurs under your account except to the extent caused by our violation of applicable law or our failure to use reasonable safeguards for the Services.
You must notify us promptly if you believe your account has been accessed without authorization or your credentials have been compromised.
mEinstein provides a mobile-native personal AI platform and related features that may include personal AI assistance, Daily Routine functionality, optional connected data experiences, optional marketplace and monetization features, optional payment and payout functionality, and related tools and services.
The Services may change over time. Features may be added, modified, suspended, limited, or discontinued at any time, and not all features are available in all versions of the app, for all users, or in all jurisdictions.
We may also suspend, withdraw, or discontinue all or part of the Services at any time, with or without notice, where reasonably necessary for operational, legal, security, compliance, or business reasons.
TmEinstein is designed around an on-device, user-controlled architecture. By default, many personal AI features are designed so that the data they use remains locally on your device rather than being automatically uploaded to the cloud for ordinary feature use.
Depending on the features you choose to enable, this may include data relating to finances, health records, transactions, personal organization, activities and interests, family-related information, home and auto management, travel, AI assistance, AI conversations, daily routine, and local recommendations.
Certain limited information may nevertheless be processed or retained on our servers where necessary to create or secure your account, provide support, operate user-authorized marketplace or payment features, prevent fraud or abuse, comply with law, administer transactions, or carry out another function you specifically request or authorize.
Some features allow you to connect third-party sources, such as location permissions, health portals, email accounts, financial accounts, or payment and payout providers. Those features are optional and remain subject to your choices, permissions, and applicable feature-specific disclosures.
mEinstein is designed around on-device, user-controlled AI. However, certain AI features may use thirdparty AI service providers to generate responses when on-device processing is unavailable, insufficient, or not yet supported.
Third-party AI providers used by mEinstein may include OpenAI, xAI, and Google, and may change over time. Before cloud AI processing is first used where required, mEinstein presents a disclosure and obtains your choice through product controls. You may be able to change that choice later through Settings or other app controls.
For AI Conversation features, your message may be sent as you enter it. For Assist workflows, mEinstein is designed to send only the structured details needed to complete the selected function for ordinary use and generally not direct identifiers such as name, email address, or phone number for ordinary Assist use unless a feature clearly requires that information and separately discloses that fact
The Services may also rely on other third-party providers, such as payment processors, financial connectivity providers, cloud infrastructure providers, communications providers, analytics providers, compliance vendors, or identity verification vendors. Those providers may change over time.
Where a third-party provider’s service is required for a feature to function, your use of that feature may also be conditioned on your acceptance of that provider’s separate terms and privacy practices.
Certain features may be unavailable, delayed, or impaired due to failures, limitations, or policy changes involving third-party providers. Your use of some integrated third-party services may also be subject to the provider's own terms and privacy practices.
The Services may generate content, recommendations, summaries, classifications, or insights. Those outputs are provided for general informational and assistance purposes only.
The Services do not provide medical, legal, tax, accounting, investment, brokerage, fiduciary, therapeutic, mental-health, emergency, or other regulated professional advice, and no content generated by the Services should be treated as a substitute for advice from qualified professionals.
You are solely responsible for evaluating outputs and for any decisions, actions, or omissions based on the Services. You should seek independent professional advice before making decisions involving significant financial, legal, medical, safety, or other serious consequences
The Services are not intended for emergency use, life-critical situations, or any use where errors, delays, or unavailability could reasonably lead to death, bodily injury, significant property damage, or other material harm.
Certain marketplace, payout, or payment-related features of the Services may require you to connect a bank account or payout account through third-party providers such as Stripe. By using those features, you acknowledge that certain financial, payout, identity-verification, compliance, and transaction-related information may be processed by mEinstein and such third-party providers as necessary to operate the Services, prevent fraud, satisfy legal and regulatory obligations, administer transactions, and resolve disputes.
Although certain information may be stored locally on your device for product functionality, mEinstein and its payment providers may also retain certain records as required for accounting, audit, compliance, security, fraud-prevention, legal, and operational purposes. Your use of such third-party payment or payout features may also be subject to the provider's own terms and privacy practices
Fees, commissions, charges, payout deductions, or similar amounts, if any, will be disclosed in-app, on our website, at the time of a transaction, or through a feature-specific agreement. We may change fees from time to time with notice where required by law or contract.
mEinstein may suspend, delay, reverse, limit, withhold, or refuse transactions, payouts, transfers, or marketplace activity where reasonably necessary for fraud prevention, security, compliance, legal process, risk management, operational integrity, dispute resolution, suspected misconduct, or third-party provider requirements.
You are responsible for all taxes, duties, levies, and similar governmental charges arising out of your use of the Services or marketplace activity, except for taxes imposed on mEinstein's net income.
We or our third-party providers may require additional identity, tax, banking, or compliance information before permitting or continuing marketplace, transaction, or payout functionality.
We may establish reserves, delay settlement, or place holds where reasonably necessary for chargebacks, reversals, fraud, disputes, compliance, or third-party provider requirements.
As between you and mEinstein, you retain ownership of the content, prompts, materials, records, and other information you submit to or create through the Services ("User Content"), subject to the rights you grant in these Terms and any feature-specific terms.
You grant mEinstein a non-exclusive, worldwide, royalty-free license to host, reproduce, process, transmit, adapt, display, and otherwise use User Content solely as reasonably necessary to operate, secure, maintain, improve and provide the Services in a manner consistent with our Privacy Policy and your feature settings, permissions, and consents, enforce transactions you authorize, comply with law, and exercise our rights and obligations under these Terms.
mEinstein and its licensors retain all rights, title, and interest in and to the Services, including software, workflows, user interfaces, designs, branding, logos, documentation, compilations, and all related intellectual property, excluding User Content.
You may not copy, distribute, sell, license, reverse engineer, decompile, scrape, extract, train competing models on, or otherwise exploit the Services or their underlying software or systems except as expressly permitted by applicable law or our written consent.
You must use the Services lawfully, responsibly, and in a manner that does not infringe the rights of others or interfere with the Services.
You may not:
You remain responsible for your own device security, account security, and backups, including any use of device-level backup services such as iCloud, Google backup, or similar platform-provided services.
Our Privacy Policy explains how we access, process, use, disclose, retain, and protect personal information. By using the Services, you acknowledge that your information may be handled as described in the Privacy Policy and any feature-specific disclosures or permissions you accept.
For many personal AI features, information is designed to remain on your device by default for ordinary feature use. Separate server-side records may nevertheless exist for account administration, support, security, compliance, payment and payout functions, user-authorized transactions, deletion records, or other limited purposes described in the Privacy Policy.
If you choose to connect location services, health portals, email accounts, financial accounts, bank accounts, payout accounts, or similar sources, you authorize the Services and relevant third-party providers to access, process, and use the applicable information in accordance with your settings, the relevant feature flow, these Terms, and the Privacy Policy.
We may suspend, restrict, or terminate your access to all or part of the Services at any time if we reasonably believe you have violated these Terms, created risk or legal exposure, engaged in fraud or abuse, endangered others, interfered with the Services, or if suspension or termination is otherwise reasonably necessary for security, compliance, operational, or legal reasons.
You may stop using the Services at any time. If the app provides an in-product account deletion function, such as Settings -> Delete Account, you may use that function to request account deletion.
If you delete your account, we will delete registration information from our servers subject to legal, security, fraud-prevention, accounting, and dispute-resolution requirements. After account deletion, we may retain limited records such as your email address and the reason provided for deletion for audit, compliance, security, fraud-prevention, accounting, or recordkeeping purposes.
We do not retain deleted account registration information except as necessary to preserve limited deletionrelated records for audit, compliance, security, fraud-prevention, accounting, or dispute-resolution purposes.
If you would like to request information about the limited deletion-related records we retain following account deletion, you may contact support@meinstein.ai within 30 days of your account deletion request.
THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, TO THE MAXIMUM EXTENT PERMITTED BY LAW. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEINSTEIN DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, QUIET ENJOYMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
WITHOUT LIMITING THE FOREGOING, MEINSTEIN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, TIMELY, COMPLETE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY OUTPUTS, INSIGHTS, CLASSIFICATIONS, RECOMMENDATIONS, OR OTHER RESULTS WILL BE ACCURATE, COMPLETE, SUITABLE, OR ACHIEVE ANY PARTICULAR OUTCOME.
NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY MEINSTEIN OR ITS REPRESENTATIVES CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEINSTEIN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF MEINSTEIN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AND AGENTS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MEINSTEIN FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY OR EXCLUSIONS OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless mEinstein and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from and against any claims, liabilities, damages, judgments, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of applicable law or the rights of any third party; or (e) any transaction, transfer, or marketplace activity you initiate or authorize through the Services.
We may modify the Services or these Terms from time to time. If we make material changes, we may provide notice through the app, by email, on our website, or by other reasonable means.
Unless otherwise required by law, the updated Terms will become effective when posted or on the effective date stated in the updated Terms. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms.
Sections relating to intellectual property, payments, taxes, suspension, account deletion, disclaimers, limitation of liability, indemnification, governing law, venue, dispute resolution, and any provisions that by their nature should survive will survive any termination or expiration of these Terms.
You may not use the Services if you are located in, ordinarily resident in, or subject to sanctions or restrictions under any jurisdiction where such use would violate applicable export control, sanctions, or trade laws. You represent that your use of the Services will comply with applicable export control and sanctions laws.
These Terms and any dispute, claim, or controversy arising out of or relating to the Services or these Terms will be governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles.
Subject to applicable law, the state and federal courts located in Massachusetts will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you and mEinstein consent to personal jurisdiction and venue in those courts.
If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.
Before filing a formal claim, you agree to contact mEinstein at support@meinstein.ai and make a good-faith effort to resolve the dispute informally for at least 30 days.
